4. Data Security Responsibilities

When providing data for forecasting services, you are responsible for:

5. Indemnification

You agree to indemnify, defend, and hold harmless Yosoku-sha, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these terms, violation of laws, or infringement of third-party rights.

1. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• • Accuracy, completeness, or reliability of forecasts or predictions
• • Uninterrupted or error-free operation of our services
• • Freedom from viruses or harmful components

2. Forecasting Limitations

You acknowledge that:

• • Forecasts are estimations and should not be the sole basis for critical decisions
• • Past performance does not guarantee future results
• • External factors beyond our models may affect outcomes
• • You bear responsibility for decisions based on our forecasts

3. Limitation of Liability

To the maximum extent permitted by law, Yosoku-sha shall not be liable for:

• • Indirect, Incidental, or Consequential Damages: Including lost profits, revenue, data, or business opportunities
• • Special or Punitive Damages: Even if advised of the possibility of such damages
• • Third-Party Claims: Arising from your use of our services or reliance on forecasts
• • Service Interruptions: Due to maintenance, technical issues, or circumstances beyond our control

Our total liability for any claims arising from these terms or your use of our services shall not exceed the amount you paid us for services in the six months preceding the claim, or ¥100,000, whichever is greater.

4. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, power failures, or internet service disruptions.

5. Professional Advice Disclaimer

Our services provide data analysis and forecasting tools, but do not constitute professional financial, legal, or business advice. You should consult with appropriate professionals before making significant business decisions based on our forecasts.

1. Ownership of Deliverables

Unless otherwise specified in a service agreement:

• • Yosoku-sha retains ownership of methodologies, algorithms, and proprietary tools
• • You retain ownership of your original data and business information
• • Forecasting outputs and reports are licensed to you for internal business use
• • You may not sublicense, distribute, or sell our deliverables to third parties

2. Confidential Information

Both parties agree to maintain the confidentiality of information marked as confidential or that should reasonably be understood as confidential. This obligation includes:

• • Not disclosing confidential information to unauthorized parties
• • Using confidential information only for authorized purposes
• • Implementing reasonable safeguards to protect confidential information
• • Returning or destroying confidential information upon request or termination

3. Copyright and Trademarks

All content on our website, including text, graphics, logos, and software, is protected by copyright and trademark laws. Unauthorized reproduction, modification, or distribution is prohibited and may result in legal action.

1. Good Faith Negotiations

In the event of any dispute arising from these terms, both parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice of the dispute to the other party.

2. Mediation

If negotiations do not resolve the dispute within 30 days, the parties agree to attempt mediation with a mutually agreed mediator in Tokyo, Japan. The costs of mediation shall be shared equally unless otherwise agreed.

3. Arbitration and Litigation

If mediation fails to resolve the dispute, either party may pursue:

• • Binding arbitration under the rules of the Japan Commercial Arbitration Association
• • Legal action in the courts of Tokyo, Japan, which shall have exclusive jurisdiction

4. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

1. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

2. Entire Agreement

These Terms and Conditions, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and Yosoku-sha regarding your use of our website and services, superseding any prior agreements or understandings.

3. Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Yosoku-sha.

4. Assignment

These terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.

7. Amendments

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or via email. Continued use of our services after such modifications constitutes acceptance of the updated terms.
